Terms of Service

These Terms govern your use of Kerho ("the platform"), operated by RedWood Global Partners LLC ("RWGP", "we", "us"). By creating an account or a community, you agree to these Terms. If you don't agree, don't use the platform.

1. The service

Kerho is a multi-tenant platform for running courses and communities — a classroom, a community feed and a calendar in one place. A "Community Owner" creates and runs a community; "Members" join it. We provide the software; the Community Owner provides the community.

2. Accounts

You must provide a valid email and are responsible for activity under your account. You must be at least 16 years old (or the age of digital consent in your country) to use the platform.

3. Community Owners and Members

• Community Owners are solely responsible for their community: its content, pricing, communications, member relationships and compliance with the law in their jurisdiction.
• Members' relationship for the community's content and any purchase from a community is with the Community Owner, not with us.
• We are not a party to the agreement between a Community Owner and their Members.

4. Subscriptions and billing

• Running a community requires a paid subscription: currently €9 for the first month, then €99/month (or €990/year). Prices are shown at checkout and exclude any applicable taxes.
• Subscriptions renew automatically until cancelled. You can cancel anytime from the billing portal; access continues until the end of the paid period.
• Except where required by law, payments are non-refundable, including for partial periods. The €9 first-month offer applies once per community.
• We may change prices with reasonable notice; changes apply from your next renewal.
• Platform payments are processed by Stripe.

5. Member payments (your own Stripe)

When a Community Owner charges their Members, those payments are made through the owner's own payment account. We take 0% of a creator's sales and do not receive, hold or custody Members' funds. The Community Owner is solely responsible for delivering what they sell, for taxes, and for any refunds to their Members.

6. Your content

You keep ownership of the content you create. You grant us a limited, worldwide licence to host, store, process and display that content solely to operate the platform for you and your Members. You are responsible for your content and confirm you have the rights and consents needed to use it.

7. Acceptable use

You agree not to use the platform to:

• break the law, infringe others' rights, or publish illegal, harmful, hateful or deceptive content;
• send spam, malware, or attempt to disrupt, reverse-engineer or gain unauthorised access to the platform;
• misuse others' personal data or resell access without authorisation.

8. Intellectual property

The platform, its software, design and trademarks are owned by RWGP. These Terms don't grant you any right to our IP other than to use the platform as intended.

9. Third-party services

The platform relies on third parties (including Stripe, Supabase, Brevo and Vercel). Your use of those services may be subject to their own terms. We're not responsible for third-party services.

10. Suspension and termination

You may stop using the platform and cancel at any time. We may suspend or terminate accounts or communities that breach these Terms, create legal risk, or fail to pay. On termination, your right to use the platform ends; we may delete content after a reasonable period.

11. Disclaimers

The platform is provided "as is" and "as available", without warranties of any kind to the maximum extent permitted by law. We don't guarantee uninterrupted or error-free operation.

12. Limitation of liability

To the maximum extent permitted by law, RWGP is not liable for indirect, incidental or consequential damages, or for lost profits, revenue or data. Our total liability for any claim is limited to the amount you paid us for the platform in the 12 months before the claim.

13. Indemnity

You agree to indemnify RWGP against claims arising from your content, your community, your use of the platform, or your breach of these Terms.

14. Changes

We may update these Terms; material changes will be reflected by the "Last updated" date and, where appropriate, notified by email. Continued use means you accept the updated Terms.

15. Governing law

These Terms are governed by the laws applicable to RedWood Global Partners LLC in the United Arab Emirates, without regard to conflict-of-laws rules. Mandatory consumer-protection rights in your country of residence are unaffected.
